APEX AI Agency – Terms of Service

1. About APEX AI

APEX AI (“we”, “us”, “our”) provides website design, automation, CRM configuration, AI tools, and business audits to clients in Australia and internationally.

2. Services

Services are provided based on the package or scope agreed with the client. Timelines depend on client responsiveness and availability of required materials (content, access, approvals). We may use third-party platforms and tools as part of service delivery.

3. Fees & Payments

Setup fees are payable upfront.

Ongoing services are billed monthly in advance unless otherwise agreed.

We are not registered for GST at this time; prices are GST-free unless stated otherwise.

Late or failed payments may result in suspension of services.

4. Cancellations & Refunds

Ongoing services are month-to-month unless stated otherwise.

Setup fees are non-refundable once work has commenced.

Monthly services may be cancelled by the client with a minimum of 28 days’ written notice. Access to systems may be removed upon cancellation.

5. Client Responsibilities

Clients agree to provide accurate information, timely approvals, and lawful content. Delays caused by missing inputs may impact delivery timelines.

6. Intellectual Property

Clients retain ownership of their content and branding.
APEX AI retains ownership of proprietary templates, automations, workflows, and system configurations, which are licensed to the client for use during an active subscription unless otherwise agreed in writing.

7. Third-Party Services

We may integrate third-party platforms (e.g., email/SMS providers, payment gateways). APEX AI is not responsible for outages, policy changes, or pricing changes from third parties.

8. Performance Disclaimer

We provide tools and systems designed to improve efficiency and growth. We do not guarantee specific outcomes such as leads, sales, or revenue.

9. AI Disclaimer

AI features are assistive tools and should be monitored by humans. Outputs may not always be accurate. The client is responsible for reviewing and approving AI-generated content.

10. Limitation of Liability

To the maximum extent permitted by law, APEX AI’s liability is limited to the fees paid by the client in the preceding 30 days. We are not liable for indirect or consequential losses.

11. Confidentiality

Both parties agree to keep confidential information private, except where disclosure is required by law.

12. Termination

We reserve the right to suspend or terminate services for misuse, unlawful activity, or breach of these terms.

13. Governing Law

These Terms are governed by the laws of Victoria, Australia.
